This Affiliate Agreement (“Agreement”) is made between you (“Affiliate”) and WPShop.biz (“Company”) and governs your participation in our affiliate program. By signing up or continuing to participate in our affiliate program, you agree to the terms set forth below. This Agreement is intended for individuals and legal entities worldwide who are eligible to enter into legally binding contracts.
1. Purpose of the Agreement
The Affiliate agrees to promote WPShop.biz products (themes, plugins, and related services) to potential customers. The Affiliate will earn a commission for referred sales generated through unique affiliate tracking links.
2. Responsibilities of the Parties
2.1. Company Obligations
- Provide access to the affiliate dashboard, including tracking tools and marketing assets.
- Track referred traffic and purchases using cookies and/or session tracking.
- Pay commissions as outlined in Section 3.
- Notify Affiliates of changes to products, pricing, or program terms.
2.2. Affiliate Obligations
- Use only approved promotional methods: affiliate links, blog reviews, social media, email (with consent), and other legal methods.
- Ensure that your affiliate links include your unique tracking ID.
- Avoid misleading promotions or misrepresentations of WPShop.biz products.
- Do not engage in spam, unauthorized ads, or deceptive marketing.
- Do not use paid advertising (e.g., Google Ads) that targets the WPShop.biz brand name.
- Do not purchase WPShop products through your own affiliate link.
- Maintain accuracy in your payment details and tax obligations.
3. Commissions and Payments
3.1. You will earn a percentage-based commission on every completed sale made by users referred through your affiliate link. Commission rates are displayed in your affiliate dashboard.
3.2. Commissions are based on verified purchases within 365 days of the user’s first click on your link, tracked via cookies.
3.3. Commissions can be requested once your balance reaches the minimum payout threshold (equivalent of $100 in your selected payout currency).
3.4. Payouts are processed within 30 days of request. Applicable transaction fees may apply depending on the payout method.
3.5. WPShop.biz reserves the right to reject or reverse commissions in cases of refunds, chargebacks, or violations of this Agreement.
3.6. You are solely responsible for declaring and paying any applicable taxes related to your affiliate earnings.
4. Legal Acknowledgment and Signatures
By registering as an Affiliate, using your login credentials, and accessing the affiliate dashboard, you acknowledge and agree that these actions constitute your legal acceptance of this Agreement. Electronic actions under this Agreement shall be deemed equivalent to handwritten signatures.
5. Termination and Modifications
5.1. This Agreement is valid for 1 year from the date of acceptance and automatically renews unless either party gives written notice 30 days prior to the renewal date.
5.2. WPShop.biz may terminate this Agreement at any time without notice in case of violation of sections 2.2.4 to 2.2.10.
5.3. WPShop.biz may update the terms of this Agreement at any time. Updated terms will be posted at https://wpshop.biz/affiliate-terms. Continued participation in the program constitutes acceptance of the updated terms.
6. Limitation of Liability
Neither party shall be liable for delays or failure to perform caused by events beyond their reasonable control (force majeure), such as natural disasters, cyberattacks, or governmental restrictions.
7. Dispute Resolution
Any disputes arising out of or in connection with this Agreement shall first be resolved amicably. If no resolution is reached, the dispute shall be subject to the exclusive jurisdiction of the courts at the Company’s place of registration.
8. Miscellaneous
- Neither party may transfer their rights or obligations under this Agreement without written consent.
- All notices must be sent to the contact email listed below.
- If any provision of this Agreement is held to be invalid, the remaining provisions shall remain in full force.
